MODEL MAKER SYSTEMS SOFTWARE TERMS

DELIVERY

  • Delivery via courier within 3 days.
  • All module upgrades not requiring HL key replacements will be upgraded on the same day via email if the order and proof of payment are received before 14:00. Ensure the correct email address is provided on the last page of this quotation.
  • Orders and proof of payments received after 14:00 may be processed the next business day.
  • Installation can be arranged at an additional cost for time and travel if required.

DISCOUNT

A 15% settlement discount is offered for all NEW software purchases subject to the following conditions:

  1. Payment is made electronically into our bank account prior to delivery.
  2. Upgrades from old to new versions are not eligible for discounts.
  3. Bulk order discounts apply as follows: 20% for the second copy, 30% for the third, and 40% for the fourth and more copies. Bulk order discounts are valid only for purchases made on the same order and up to 1 month after the original invoice date.
  4. If the client pays the 30-day amount before delivery, no refund will be made for the COD discount difference. Ensure the correct amount is paid when placing the order.

EXPORTS

  1. All exports are quoted EX-WORKS Cape Town and exclude South African VAT. Payments must be made by bank transfer prior to delivery.
  2. Prices exclude bank charges, government taxes (including withholding taxes), duties, courier fees, installation, and training.
  3. Payment can also be made via PayPal or PayFast (for VISA, MasterCard, etc.). An additional service fee of up to 5% of the quoted total may apply. Contact us if you prefer this method, and we will send a PayPal invoice in US Dollars.

SOFTWARE SUBSCRIPTION

Free telephonic technical support (not training) is provided for the first 60 days. After that, a software subscription agreement may be entered into, providing:

  1. Free telephonic technical support (not training) during the subscription term.
  2. Free Internet updates during the subscription term.
  3. One-hour (non-accumulative) free consultation per month at MMS Design offices during the subscription term.
  4. Remote support via TeamViewer.

The software subscription is an annual renewable amount. The value, calculated based on purchased modules less applicable discounts, will not escalate if renewed annually. A renewal notice will be emailed the month before the subscription expiry. The client must track the renewal due date and renew accordingly. Any change of address or contact details must be supplied in writing. If no renewal order is received within 1 month after the expiry month, it will be assumed that the client no longer requires the subscription. Upgrade fees may apply to reinstate the subscription.

The software subscription is supplied by MMS Design. Additional software purchases will be quoted with a pro-rata subscription cost proportional to the remaining months of the existing subscription term. There will be one software subscription and license agreement with the client, regardless of the number of software licenses purchased. Additional licenses will be added to the current subscription unless otherwise specified in writing.

SOFTWARE

MODEL MAKER SYSTEMS is the developer, and MMS Design is the distributor of all the software subject to this quotation. A confirmation of distribution and sole supplier letter is available upon request.

TRAINING

Training is not included in the price. Various training options are available:

  1. An excellent DVD option is available for getting started with Model Maker.
  2. On-site training can be arranged at an additional cost for time and travel.

SL KEYS (ONLY APPLICABLE TO SINGLE USER LICENSES – NO NETWORK OPTION)

  1. To exchange an HL key for an SL key, the old HL key must be returned by express courier to Model Maker Systems in Centurion within 7 days of the instruction to change. Contact us for delivery details.
  2. The SL key will be managed via the internet and must be registered on the Model Maker Systems (MMS) database by running one of the MMS software products for the first time.
  3. The SL key can be authorized and unauthorized to work on a specific computer. The user email address and company account number are part of the authorization. MMS Design or Model Maker Systems will not perform these actions on behalf of a user remotely.
  4. Once every 30 days, an internet connection must be available for confirmation of the SL key status. If successful, the 30-day counter resets to zero.
  5. MMS Design must be notified in writing if a computer with an active SL key is stolen. A new key can be issued at no cost, and the old key will be deactivated, rendering the license on the stolen computer useless.
  6. Before using an SL Key, it is the user’s responsibility to test the internet connection to the MMS server by entering the following URL into a web browser and hitting ENTER: web.modelmaker.co.za. The result must be like: OK: 2015/06/17 08:32:02 AM [web.modelmaker.co.za].
